The agreement between us.

1. About CallSherpa
CallSherpa is a call-for-proposals management platform operated from Canada. These Terms of Service (“Terms”) govern your use of the platform at callsherpa.ai (“Service”). By creating an account or using the Service, you agree to these Terms.
We operate as a platform — we do not review, endorse, or take responsibility for the content of any call for proposals, application, or review submitted through the Service.
2. Accounts
- You must be at least 18 years old and have the authority to accept these Terms on behalf of yourself or your organization.
- You are responsible for maintaining the security of your account and for all activity that occurs under it.
- You must provide accurate information when creating your account and keep it current.
- You may not share your account credentials or allow others to access the Service through your account.
3. Organizer Responsibilities
If you create a call for proposals (“Call”) on the Service, you are the “Organizer” of that Call. As an Organizer, you are solely responsible for:
- The accuracy and legality of the Call’s content, including eligibility requirements, funding amounts, and deadlines.
- Complying with all applicable laws governing your grant, award, procurement, or review process, including anti-discrimination laws, public procurement rules, and any sector-specific regulations.
- Treating applicants and reviewers fairly and in accordance with your stated criteria.
- Any decisions made about applications, including acceptance, rejection, and funding. CallSherpa has no role in and takes no responsibility for these decisions.
- Ensuring your use of AI features (AI pre-screening, AI-drafted decision emails) complies with applicable laws and your obligations to applicants. AI outputs are suggestions — final decisions remain with you.
- Notifying applicants of your data practices when required by applicable law.
4. Acceptable Use
You may not use the Service to:
- Create calls that are fraudulent, deceptive, or designed to collect personal data under false pretences.
- Discriminate against applicants based on race, gender, religion, national origin, disability, age, sexual orientation, or any other protected characteristic.
- Submit applications containing plagiarised, fabricated, or AI-generated content that you represent as your own original work, where the Call prohibits this.
- Attempt to reverse-engineer or circumvent blind review protections.
- Scrape, crawl, or otherwise extract data from the Service by automated means.
- Use the Service in a way that violates any applicable law or regulation.
- Interfere with or disrupt the integrity or performance of the Service.
5. Your Content
You retain ownership of all content you submit to the Service — call details, proposals, review comments, uploaded files, and other materials (“Your Content”).
By submitting content, you grant CallSherpa a limited, non-exclusive licence to store, display, and process Your Content solely as necessary to provide the Service to you. We do not use Your Content to train AI models.
You are responsible for ensuring you have the rights to any content you upload, including third-party documents, images, and attachments.
6. AI Features
The Service includes AI-assisted features including call setup assistance, eligibility pre-screening, reviewer chat, text-to-speech read-aloud, and AI-drafted decision emails. These features are powered by third-party AI providers (see our Privacy Policy).
- AI outputs are suggestions only. They do not constitute professional, legal, or funding advice.
- Organizers remain solely responsible for all decisions made in connection with a Call, regardless of whether AI features were used.
- We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated content.
7. Billing and Payments
Certain features require a per-call payment processed by Stripe. By completing a purchase you agree to Stripe’s terms of service.
- Payments are per-call and non-refundable once a call is published, except where required by applicable consumer protection law.
- If a call is never published, contact support@callsherpa.ai within 14 days of purchase to request a refund.
- We reserve the right to change pricing. Price changes will be communicated before they take effect and will not affect calls already purchased at the prior price.
8. Third-Party Services
The Service integrates with third-party providers including Clerk (authentication), Convex (database), Stripe (payments), OpenRouter (AI inference), Resend (email), Google (voice AI), SourceVerify (reference verification), and Cloudflare R2 (file storage). Your use of these integrations is also subject to those providers’ terms and privacy policies.
If you provide an API key for a third-party service (such as OpenRouter or SourceVerify), you are responsible for compliance with that service’s terms and for any costs incurred through your key.
9. Intellectual Property
The Service, its design, codebase, and all CallSherpa-created content are owned by or licenced to CallSherpa. These Terms do not grant you any rights in CallSherpa’s intellectual property beyond the right to use the Service as described here.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
We are not responsible for the conduct of any Organizer, applicant, or reviewer on the platform, or for the outcome of any call for proposals process conducted through the Service.
11. Limitation of Liability
To the maximum extent permitted by applicable law, CallSherpa and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of revenue, data, goodwill, or opportunities, arising from your use of or inability to use the Service.
Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim, or CAD $100, whichever is greater.
12. Termination
You may stop using the Service and delete your account at any time via Profile > Delete Account.
We may suspend or terminate your access if you violate these Terms, engage in conduct that harms other users, or if we discontinue the Service. We will give reasonable notice where possible, except where immediate action is necessary to protect the platform or other users.
On termination, your data will be handled as described in our Privacy Policy.
13. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, Canada.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
